Edward is a leading company law and governance practitioner. He delivers complex and innovative, often cross-border, transactions, both domestically and internationally. Edward is an expert in all aspects of company law and practice, including complex advisory work, M&A and other commercial transactions, fundraising, initial public offerings (IPOs), listings and secondary market transactions, insolvency and restructuring, regulatory aspects and capital markets deals in relation to both listed debt and listed equity securities. He often finds himself working on long-term projects, whether that be the UK’s largest ever real estate transaction, the development of a world-class energy company or the creation of corporate structures to support and manage family wealth. Edward builds on his reputation within the profession to lead on technical and training matters within the corporate practice.
Edward has a long-established practice focused on governance and transparency disclosures, including under the Listing Rules, Disclosure Guidance and Transparency Rules (DTRs) and the people with significant control (PSC), Register of Overseas Entities (ROE), and trust registration regimes.
Experience:
Providing governance and commercial support, including farm-in transactions for a significant Southern African exploration company.
Advising the group holding the largest construction industry verification card scheme on governance changes, restructuring, funding, licensing and all aspects of its commercial operations.
Acting on a series of fundraisings for an AIM-admitted oil exploration company operating in the South Atlantic.
Acting on various debt listings across a range of European listing venues.
Acting on a significant dispute in the British Virgin Islands courts in relation to a mandatory share redemption.
Providing structural advice and governance in relation to the holding of over £8bn of UK real estate assets.
